Terms of Service

These Terms of Service (the “Terms”) govern the relationship between StartManaging-Legal, LLC (a Shoal Valley Systems company) and any law firm or professional-services organization (the “Customer”) that subscribes to the StartManaging-Legal studio (the “Service”). By creating an account or accepting an invitation to an existing workspace, the Customer agrees to these Terms.

1. The Service

The Service is a multi-tenant, browser-resident law-firm management application. Each Customer is allocated an isolated workspace (“Tenant”) containing the firm’s clients, matters, time entries, invoices, bookkeeping ledger, documents, engagement letters, and marketing packets.

2. Account, authentication, and security

• The Customer must designate at least one Owner. The Owner is responsible for inviting additional Firm Users and for assigning their permissions.
• Every Firm User must enroll in multi-factor authentication on first login. Sharing an account is prohibited.
• The Customer is responsible for the confidentiality of its Firm Users’ credentials and for all activity on the Tenant. Suspicious activity should be reported to security@startmanaging-legal.com immediately.

3. Customer content

Everything the Customer stores in the Service — clients, matters, time entries, invoices, transactions, documents, engagement letters, packets, branding assets, employee profiles — is “Customer Content.” Customer Content remains the Customer’s property.

The Customer grants StartManaging-Legal a worldwide, royalty- free license to host, store, transmit, back up, and display the Customer Content solely to operate the Service for the Customer. No other use is permitted.

4. Acceptable use

The Customer agrees not to:

• Reverse-engineer, decompile, or scrape the Service except as permitted by law.
• Probe, scan, or test the vulnerability of the Service or breach any security or authentication measure (responsible disclosure via security@startmanaging-legal.com is encouraged and exempt).
• Upload material that infringes the rights of any third party, contains malware, or violates applicable law.
• Use the Service to provide unlicensed legal services or to practice law in a jurisdiction where the user is not authorized.

5. Fees

Subscription fees, billing frequency, and the included feature bundle are described on the pricing page that applies to the Customer’s plan. Founding-tenant pricing applies to the first ten subscribers. Fees are non-refundable except where required by law.

6. Term and termination

• These Terms remain in effect for the duration of the subscription. Either party may terminate for material breach with 30 days’ cure notice; StartManaging-Legal may suspend without notice for the security of the Service or its other Customers.
• On termination, the Customer has 30 days to export a complete backup of its Tenant via /backup. After 30 days production copies are deleted; cold backups age out within 12 months per the Privacy Policy.

7. Confidentiality

Each party will protect the other’s confidential information with at least the same care it gives its own confidential information of similar sensitivity, and in no event less than a reasonable standard.

8. Warranty disclaimer

The Service is provided “as is.” Except as expressly stated in these Terms, StartManaging-Legal disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

Neither party will be liable to the other for any indirect, consequential, special, or punitive damages. Each party’s aggregate liability under these Terms will not exceed the fees paid by the Customer during the twelve months preceding the claim.

10. Indemnification

Each party will defend the other against third-party claims arising out of (i) the indemnifying party’s breach of these Terms, or (ii) for Customer, the Customer’s use of the Service in violation of law, or, for StartManaging-Legal, the Service’s alleged infringement of a third-party intellectual-property right.

11. Governing law and venue

These Terms are governed by the laws of the State of Texas without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Bosque County, Texas.

12. Changes

Material changes are posted here and announced in-product 30 days before they take effect. Continued use after the effective date constitutes acceptance.
